Terms and Conditions

1. Acceptance of Terms

By accessing or using the Pinion digital platform operated by Gamer Alliance Members Esports, LLC ("Pinion," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use our services.

2. Description of Service

Pinion is a digital platform that helps student athletes build a profile of their athletic and academic achievements, share it with schools, colleges, coaches, and athletic programs, and find schools and events. It includes Nio, an automated in-app guide. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.

3. User Accounts

3.1 Account Creation

To use certain features of our platform, you may be required to create an account. You must provide accurate and complete information when creating your account and keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Verification

We may require verification of your identity through various means, including but not limited to mobile phone verification. By providing your mobile phone number, you consent to receive verification codes and account-related communications via SMS.

3.4 Eligibility

You must be at least 13 years old to create an account or use Pinion. By creating an account, you confirm that the date of birth you provide is accurate.

3.5 Members Under 18

If you are under 18, you may use Pinion only with the involvement of a parent or legal guardian, and you must give us their real email address. We will ask your parent or guardian to approve your profile. Until they do, your profile stays private: it cannot be published, shared through a link, made discoverable, or shared with schools, and you cannot use Nio. A parent or guardian who approves agrees to these Terms and to our Privacy Policy on your behalf and may withdraw their approval at any time, using the link we email them or by contacting us, as described in our Privacy Policy.

4. SMS / Text Messaging

When you provide your mobile phone number and opt in to receive text messages from Pinion, you consent to receive SMS messages from us related to your account, transactions, and our programs, including new features, scholarship matches, events, and updates.

Message frequency varies. Message and data rates may apply. You can reply HELP for help or STOP at any time to unsubscribe. Once you reply STOP, you will no longer receive SMS messages from us unless you opt in again.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support of our services (e.g., SMS delivery via Twilio) is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

SMS Program Terms

By providing your mobile number and opting in, you authorize Pinion to send you recurring informational and program-related text messages.

Message frequency varies; message and data rates may apply. Reply HELP for help, STOP to cancel. Consent is not a condition of any purchase.

4.1 How You Opt In (Consent)

You opt in by affirmatively checking the SMS consent checkbox when you create your account on the Pinion website or mobile app, on the same step where you agree to these Terms and our Privacy Policy, or later by turning on “Text message updates” in your Notification settings. The checkbox is unchecked by default and is presented next to the consent language, which matches our standard SMS disclosure and refers you to our Privacy Policy and Terms and Conditions. Consent to receive these SMS messages is not a condition of purchase or use of the service. You can opt out at any time in your Notification settings or by replying STOP, and opt back in by replying START. If you are under 18, we record your choice the same way, but send no SMS messages until a parent or guardian has approved your account, and stop if that approval is withdrawn.

4.2 HELP and STOP

For help or questions about SMS from Pinion, reply HELP to any message you receive from us or contact contact@pinionup.com. To opt out, reply STOP to any message you receive from Pinion, or email contact@pinionup.com with a request to be removed from the SMS program. Opting out of program SMS does not delete your account; you may still receive messages strictly necessary to operate or secure your account (such as verification codes) where applicable.

4.3 Supported Carriers

Carriers, including but not limited to AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, Virgin Mobile, U.S. Cellular, Cricket, Alltel, Cincinnati Bell, Cellcom, C-Spire, MetroPCS, Google Voice, and others, are not liable for delayed or undelivered messages. Carriers may not be available in all areas, and message delivery is subject to carrier availability and network conditions.

4.4 Privacy

Further detail on SMS data practices is set forth in our Privacy Policy, including the SMS / Text Messaging section.

4.5 Eligibility

You must be at least 13 years of age (or the minimum age required to consent to receive marketing communications in your jurisdiction) and the account holder or authorized user of the mobile phone number you provide in order to enroll in Pinion SMS updates described in this section.

4.7 WhatsApp Messages

If your mobile number is outside the United States, we offer WhatsApp messages instead of SMS, about the same things. You opt in the same way: by checking the optional, unchecked-by-default WhatsApp box when you create your account, or later by turning on “WhatsApp updates” in your Notification settings. Consent is not a condition of purchase or use of the service. Message frequency varies. Reply HELP for help, STOP to unsubscribe, or START to subscribe again, to any WhatsApp message from us. If you are under 18, we send no WhatsApp messages until a parent or guardian has approved your account, and stop if that approval is withdrawn. Your use of WhatsApp is also subject to WhatsApp's own terms.

5. User Conduct

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws
• Transmit any harmful, threatening, abusive, or harassing content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to any part of our platform
• Use automated systems to access our services without permission
• Violate any intellectual property rights
• Provide false information about your age, athletic or academic record, or identity
• Upload content, including photos, videos, or documents, that you do not have the right to share
• Contact, harass, or attempt to meet another member, especially a member under 18, through Pinion or using information obtained from Pinion
• Use Nio to seek content unrelated to Pinion or to try to make it produce harmful content

6. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.1 Your Profile and Sharing With Schools

You are responsible for the information you add to your profile and for keeping it accurate. You keep ownership of it, and you give Pinion permission to store, display, and share it as needed to provide the service: for example, with schools, colleges, coaches, and programs when you choose to be open to recruiting, and through share links or a public profile page when you choose to create them. You can change these choices at any time in your settings. Pinion does not guarantee that any school, coach, or program will view your profile, contact you, or offer you a place, scholarship, or roster spot, and schools that receive your information handle it under their own policies.

6.2 Nio, Our AI Guide

Nio is an automated guide that answers questions about Pinion and your profile and helps you find your way around the app. It is available to members 18 and over, and to members under 18 once a parent or guardian has approved. Its answers are generated automatically and may be incomplete or wrong. Nio is not a person, and does not provide recruiting, eligibility, medical, legal, or mental health advice; check anything important with your school, coach, the relevant athletic association, or a trusted adult. If you or someone you know is in danger, contact local emergency services. How Nio uses your information is explained in our Privacy Policy.

7. Intellectual Property

All content, features, and functionality of our platform, including but not limited to text, graphics, logos, and software, are owned by Gamer Alliance Members Esports, LLC and are protected by copyright, trademark, and other intellectual property laws.

8. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Gamer Alliance Members Esports, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or relating to your use of our services.

10. Indemnification

You agree to indemnify and hold harmless Gamer Alliance Members Esports, LLC from any claims, damages, losses, or expenses arising out of your use of our services or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to our services at any time, with or without cause, with or without notice. Upon termination, your right to use our services will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Las Vegas, Nevada.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our platform. Your continued use of our services after such changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
